3 | Critically analyse the principles of corporate governnance and accountability of companies. |
4 | Appraise the consequences and remedies available in cases of financial difficulty or failure of companies. |
5 | Apply the knowledge and understanding of the operation of companies in practical situations. |
Indicative Module Content |
---|
Nature of a company; distribution of power in the company; corporate governance; company meetings; duties and liabilities of directors, shareholders, auditors and company secretaries; company charges and other security interests of creditors in the company; receivership; predictions of company failure; corporate rescue; administration orders and voluntary arrangements; liquidations; vulnerable transactions; distribution of assets; criminal liability and dissolution of the company. |

This is a lecture and tutorial based module. Lectures provide core module content. Tutorials develop associated higher level skills through student centred learning. In the distance learning mode, in addition, online activities will form part of the module contact time. |

Component 1 is a Written Coursework. It is weighted at 100%. A grade will be provided for each criterion on the feedback grid which is specific to the assessment. The overall grade for the assessment will be calculated using the algorithm below. Component 2 is pass/fail competencies. Component 2 is a participation requirement with each student normally required to (1) complete at least two out of three interactive activities in this module and (2) attend and participate in at least 3 out of the 4 synchronous online tutorial sessions. Non-attendance for examination or non-completion of the competencies will result in an NS grade. An overall minimum grade D is required to pass the module. | |
